PaperHorse

Terms of Service

Effective date: September 4, 2026

1. Agreement to these terms

These Terms of Service are an agreement between you and PaperHorse LLC, a Utah limited liability company ("PaperHorse," "we," "us," or "our"). They govern your access to and use of paperhorse.ai and the PaperHorse applications, reports, and related services (collectively, the "Service").

By creating an account, purchasing a subscription, or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service for a company or another organization, you represent that you have authority to bind that organization, and "you" includes that organization.

2. The Service

PaperHorse samples responses from supported AI services to help customers understand how often their brands and competitors appear for selected questions. Depending on your plan, the Service may provide reports, source information, comparisons, historical views, classifications, and prioritized recommendations.

We may improve, add, remove, or change features over time. If a change materially reduces a paid Service during a current subscription period, we will provide notice or a reasonable remedy where required by law.

3. Accounts and authorized users

You must provide accurate account information, keep it current, protect your login credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity conducted through your account and for ensuring that each person you authorize to use it follows these Terms.

You may not share access outside the organization or account covered by your plan, resell access, or allow anyone to use the Service to avoid applicable plan limits.

4. Trials, subscriptions, and billing

Current plans, prices, billing intervals, features, and usage limits are shown during signup or on the pricing page. Taxes may apply. Unless stated otherwise at purchase, subscriptions renew automatically for successive billing periods until canceled.

Seven-day free trial. Eligible Standard and Pro customers receive a seven-day free trial. A valid payment method is required and is collected by Stripe when the trial starts. Stripe does not charge the payment method during the trial. If you do not cancel before the seven days end, the paid subscription begins automatically and Stripe charges the price shown when you subscribed. Trial eligibility is subject to the rules disclosed during signup.

Plan limits. Report frequency, the number of brands, prompts, users, recommendations, and other limits vary by plan. Re-running or refreshing an analysis may count toward applicable limits. We may restrict or pause usage that exceeds them.

Payment. You authorize PaperHorse and Stripe to charge your payment method for recurring fees, applicable taxes, and purchases you approve. If payment fails, we may retry the charge and suspend or limit the Service until payment is made.

Cancellation. You may cancel through the billing portal. Unless the checkout terms or applicable law state otherwise, cancellation takes effect at the end of the current paid billing period and prevents the next renewal.

Refunds. Fees are non-refundable except where required by law or expressly stated at purchase. We do not provide prorated refunds or credits for unused time or plan capacity. Email support@paperhorse.ai if you believe a charge was made in error.

5. Customer content and permissions

"Customer Content" means information you submit to the Service, including websites, brand and product details, competitor lists, prompts, instructions, and feedback about generated reports. You retain your rights in Customer Content.

You grant PaperHorse a worldwide, non-exclusive license to host, copy, process, transmit, display, and create derivative works from Customer Content only as needed to provide, secure, support, and improve the Service and to comply with law. This license ends when the content is deleted, subject to reasonable backup periods and legal retention requirements.

You represent that you have the rights and permissions needed for the Customer Content and for the instructions you give us. Do not submit secrets, payment-card details, health information, government identifiers, or other sensitive personal information unless PaperHorse has expressly agreed in writing to process it.

6. Reports and generated output

Subject to these Terms and your payment obligations, you may use, copy, modify, and share reports and other output generated for your account for your lawful business purposes. Because output is generated partly by third-party AI systems, similar or identical output may be provided to other users, and output may not qualify for intellectual-property protection in every jurisdiction.

AI responses are probabilistic and can change across engines, interfaces, locations, prompts, dates, and repeated runs. Metrics and recommendations describe the sample the Service collected. They may contain errors, omit relevant information, or link to third-party material that has changed.

You are responsible for reviewing output, verifying important facts and links, and deciding whether and how to act on a recommendation. PaperHorse does not guarantee a ranking, mention, recommendation, citation, business result, or other outcome.

7. Acceptable use

You may not use the Service to:

  • break the law or violate another person's rights;
  • submit private systems, credentials, access tokens, or content you lack the right to use;
  • probe, scan, or test non-public systems without authorization;
  • bypass security, access controls, rate limits, or plan restrictions;
  • scrape, copy, or extract the Service or its data at scale without written permission;
  • reverse engineer or attempt to discover non-public source code or models, except where law permits;
  • introduce malware or interfere with the integrity or availability of the Service;
  • impersonate another person, misrepresent affiliation, or facilitate fraud; or
  • use generated output to send unlawful, deceptive, or unsolicited communications.

You are responsible for following the rules of third-party sites and services you use in connection with a PaperHorse recommendation.

8. Third-party services

The Service relies on third-party providers and may contain links to third-party sites. Their services, content, availability, and data practices are governed by their own terms. PaperHorse is not responsible for third-party services or content. We may suspend an integration if a provider changes or discontinues access.

9. PaperHorse intellectual property

PaperHorse and its licensors retain all rights in the Service, including its software, design, branding, methods, documentation, and underlying technology. Except for the rights expressly granted in these Terms, no rights are transferred to you.

If you provide feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation. We may use aggregated or de-identified information that cannot reasonably identify you or an individual to operate, analyze, improve, and benchmark the Service.

10. Suspension and termination

We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay amounts due, or use the Service in a way that could harm PaperHorse, our providers, or other users. When reasonable, we will provide notice and an opportunity to correct the issue.

You may stop using the Service and cancel your subscription at any time. Before closing your account, export any reports you want to keep. Upon termination, your right to use the Service ends. Provisions that by their nature should survive will remain in effect, including payment obligations, intellectual-property provisions, disclaimers, limitations of liability, indemnification, and dispute terms.

11. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." PAPERHORSE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ACCURATE, COMPLETE, UNINTERRUPTED, ERROR-FREE, OR SECURE. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAPERHORSE AND ITS MEMBERS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID PAPERHORSE FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose. They do not limit liability that cannot be limited by law.

13. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless PaperHorse and its members, employees, contractors, and suppliers from third-party claims, damages, losses, liabilities, and reasonable legal fees arising from your Customer Content, your violation of these Terms or applicable law, or your use of the Service in a way that infringes another person's rights. We will promptly notify you of a claim and reasonably cooperate in the defense. You may not settle a claim in a way that admits fault by or imposes obligations on PaperHorse without our written consent.

14. Governing law and venue

Utah law governs these Terms, without regard to conflict-of-law rules. Any dispute arising from or relating to these Terms or the Service must be brought exclusively in the state or federal courts located in Utah County, Utah, and each party consents to personal jurisdiction there. This section does not prevent either party from seeking injunctive relief in another jurisdiction, and it does not override rights or venues that applicable consumer law does not permit you to waive.

15. Changes to these terms

We may update these Terms as the Service and applicable law change. We will post the revised Terms with a new effective date. If a material change adversely affects your rights, we will provide advance notice by email or through the Service when required by law. Changes apply prospectively from their effective date. Your continued use after that date means you accept the revised Terms.

16. General terms

Neither party is liable for delay or failure caused by events beyond its reasonable control. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.

If a provision is unenforceable, it will be modified only as much as necessary and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver. These Terms and any order or plan terms presented at purchase are the entire agreement about the Service and replace prior agreements on the same subject. If they conflict, the order or plan terms control for that purchase.

17. Notices and contact

We may send operational or legal notices to the email address associated with your account or display them in the Service. You are responsible for keeping that address current.

Send legal notices and questions about these Terms to legal@paperhorse.ai. Send account or billing questions to support@paperhorse.ai.
